These License Conditions ("Conditions") govern the use of the AI-powered automated telephone call handling solution for professional use (the "Service"), which includes the Software-as-a-Service solution lesswork Voicebot ("Voicebot"). These Terms apply to:

  • Any agreement ("Contract") between lesswork Productivity Solutions and the purchaser of the Service ("Licensee");
  • Any use of the Service by designated users ("Users") specified by the Licensee;
  • Any provision of Professional Services (as defined in Section 12) rendered by lesswork Productivity Solutions.

Any differing terms and conditions provided by the Licensee or its Users shall be deemed invalid, even if lesswork Productivity Solutions does not expressly object to them. Licensees are excluded from these Terms if they develop, distribute, or offer competing products or services. Consumers are also excluded as Licensees.

The Licensee confirms the correctness of all information submitted when placing an order.

1. Scope and Subject Matter of the Contract

lesswork Productivity Solutions provides the Service—an AI-powered voice telephony solution—for professional use. These Conditions govern all rights and obligations concerning use of the Service and any Professional Services provided.

By accessing or using the Service, the Licensee agrees to be bound by these Terms in their entirety.

2. Scope of Use

2.1 License Grant

The Licensee is granted a non-exclusive, non-transferable, and revocable license to access and use the Service solely within their organization for professional use.

2.2 Permitted Use

Use of the Service is restricted to business-related call management and associated activities, in line with these Terms.

2.3 Prohibited Use

The Licensee may not:

  • Use the Service for illegal or unauthorized purposes;
  • Reverse engineer, decompile, or modify the Service;
  • Resell, sublicense, lease, or redistribute the Service without prior written consent;
  • Use the Service to train or develop competing AI or telephony products.

Licensees are responsible for ensuring Users' compliance with these Terms. Any breach by a User shall be considered a breach by the Licensee.

3. Fee

3.1 Payment

Fees are payable in advance, or as otherwise agreed in writing, based on pricing listed at lessworkbot.com. The Licensee agrees to comply with all pricing terms.

3.2 Price Adjustments

lesswork Productivity Solutions may adjust pricing annually to reflect inflation or currency shifts. Notice of any change will be provided at least 30 days in advance.

4. Contract Term and Termination

4.1 Initial Term

The Agreement begins on the Effective Date and runs for twelve (12) months unless the Licensee selects a six (6) month term, in which case a setup fee applies.

4.2 Renewal Term

The Agreement will automatically renew for successive twelve (12) month periods unless written notice is provided at least sixty (60) days before the end of the current term.

4.3 Termination for Convenience

Either party may terminate with sixty (60) days’ prior written notice, effective at the end of the current term.

4.4 Termination for Cause

Immediate termination is allowed upon written notice if the other party: a) Materially breaches these Terms and does not resolve the issue within thirty (30) days of notice;
b) Becomes insolvent or files for bankruptcy.

4.5 Effect of Termination

Upon termination:

  • All licenses are revoked;
  • Confidential information must be returned or destroyed;
  • Any outstanding fees become immediately due.

4.6 Survival

Sections 3, 5, 6, 7, 10, 11, and 12 shall survive the termination of the Agreement.

5. Warranty and Liability

5.1 Warranty

lesswork Productivity Solutions delivers the Service with reasonable care and skill.

5.2 Limitation of Warranty

Except as stated above, the Service is provided "as is." No implied warranties apply.

5.3 Limitation of Liability

lesswork Productivity Solutions is not liable for indirect or consequential damages, including lost profits or data, arising from the use or inability to use the Service.

5.4 Cap on Liability

Total liability shall not exceed the amount paid by the Licensee in the preceding twelve (12) months.

6. Intellectual Property

All intellectual property rights in the Service remain with lesswork Productivity Solutions.

The Licensee shall not attempt to discover or access the source code.

6.1 Client Logo Usage

By accepting these Terms, the Licensee grants lesswork Productivity Solutions permission to display the Licensee’s logo on its website and marketing materials for reference purposes. This permission may be revoked at any time in writing.

7. Confidentiality

Each party agrees to protect the other’s confidential information. All customer data processed via the Service shall remain confidential.

8. Acceptable Use

The Licensee agrees not to misuse the Service and to comply with all applicable laws during its use.

9. Data Protection and Privacy

lesswork Productivity Solutions may access log data solely for technical support and performance improvement.

All processing complies with applicable data protection regulations, including GDPR.

10. General Provisions

10.1 These Conditions represent the entire agreement.
10.2 Updates to these terms will be communicated to the Licensee.
10.3 If any clause is deemed unenforceable, the rest remain valid.
10.4 Austrian law applies. The courts of Vienna have exclusive jurisdiction.
10.5 lesswork may pursue claims in the Licensee’s jurisdiction in certain cases.
10.6 This agreement is originally drafted in English; translations are for reference only.

11. Support Services

lesswork Productivity Solutions provides proactive technical support during the first three (3) months after initial deployment to ensure proper functionality.

After this period, technical support continues on a fair-use basis and covers only:

  • Functional errors or failures of the Service;
  • Incorrect or unexpected Service behavior;
  • Situations where the Service is unavailable or non-functional.

Any support outside of these scenarios may be deemed Professional Services under Section 12.

12. Professional Services

Professional Services include any request to add, remove, or modify existing functionality of the Service.

Such requests are subject to a technical feasibility assessment. Based on the assessment, lesswork Productivity Solutions will issue a time-and-cost estimate. Work will commence only upon full prepayment of the quoted cost.

These services are governed by this agreement, except where a separate statement of work (SOW) is issued and agreed to in writing.

 

By using the lesswork Voicebot Service, the Licensee acknowledges that it has read, understood, and agrees to be bound by these License Terms.
